The Outschool Membership (“Membership”) provides a Parent a number of credits each Membership Period (as defined below) to enroll in Classes on the Outschool Platform. Outschool may offer different “Membership Packages” at different prices with different credit allotment and services.
These Outschool Membership Terms (“Membership Terms”) are made by and between Outschool, Inc. ("Outschool," “we”, “us”, or “our”) and you (“Parent”,“you” or “your'', and each Outschool and Parent is a "Party" and together, the "Parties") regarding your access and use to the Membership. Outschool’s Terms of Service, Privacy Policy, and Community Standards are hereby incorporated into these Membership Terms (collectively, the "Agreement"). Where Membership Terms differ from the Terms of Service or other Outschool policies or additional requirements, these Membership Terms shall prevail relating to the Membership. By accessing and using the Membership, each Parent agrees to accept the terms of this Agreement.
The monthly membership period runs from the day you purchase the Membership, and will continue and automatically renew on a monthly basis (“Membership Period”), unless and until you cancel your Membership as described in Section 4 (Canceling Your Membership and Additional Payments) below, or your account is otherwise suspended or terminated pursuant to these Membership Terms. If you upgrade or downgrade to a different Membership Package, all such Memberships will be governed by these Membership Terms and will automatically renew on a monthly basis and continue indefinitely until canceled or terminated.
Outschool reserves the right, at our sole discretion, to develop and launch new products or services or make changes to any products or services offered through the Membership, including, without limitation to, changing the prices and credit allotment of each Membership package, at any time. Unless we expressly communicate otherwise, any credit or price changes to your Membership will take effect on your next billing cycle upon notice communicated through a posting on the Service or such other means as we may deem appropriate, such as email. If you do not cancel your Membership, you will be deemed to have accepted these new changes.
If you choose to purchase or participate in any additional products or services offered by Outschool or Teachers, you may be required to comply with additional terms and/or charged additional amounts for such services.
When your Membership renews each month, Outschool will automatically charge your payment method on file for the Membership fee, based on the Membership Package you have selected, as well as any applicable tax, on the calendar day corresponding to the commencement of your paying subscription. In addition, if you have insufficient credits for future recurring Class enrollments, Outschool will automatically charge your payment method on file for the remaining amount as needed to keep your current Class enrollments active. You agree to provide updated payment information upon request and any time the information you previously provided is no longer valid, we reserve the right to change the timing of our billing, including if your payment method has not successfully settled. If all eligible payment methods we have on file for you are declined for payment of your Membership fee, you must provide us a new eligible payment method promptly or your Membership will be suspended or canceled. If you provide us with a new eligible payment method and are successfully charged, your new Membership Period will be based on the original renewal date and not the date of the successful charge.
Outschool collects all fees through secure third-party payment processors as outlined in Outschool’s Privacy Policy and the How to Purchase and Manage Your Outschool Membership. Our third-party payment processors accept payments through methods detailed on the applicable payment screen, which may include various credit cards. Such payment methods are subject to change. Information that you supply to our payment processors is not stored by us or within our control, and is subject to each of our third-party payment processors’ own privacy policies and terms and conditions. Third-party payment processors may charge a fee to process payments and Outschool is not responsible for any fees charged by them. Outschool disclaims all liability with regard to any fees or problems you have with third-party payment processors.
Depending on the trial or Membership Package you choose, you will be allotted credits that you may use to book reservations for Classes in each trial or Membership Period. You can choose how you use and allocate your credits across the various Classes available to you. These credits can only be used for the limited purpose of booking eligible Classes through the Outschool Platform. Credits have no cash value or any other value outside of the Outschool Platform, are not transferable or refundable, and are not redeemable for cash. Even on the Outschool Platform, Credits do not have a cash value or set value. They do not operate or serve as stored value facilities in any way. You may not sell, transfer, trade, gift, or otherwise exchange credits. Credits for any reservations you make will be automatically deducted from the number of credits you have remaining in your account. If the Class occurs one-time, the credits are deducted from your account in the cycle in which you enroll in the Class, not in the cycle when the Class is held. If the Class is recurring, the first enrollment of the Class will deduct the credits in the cycle you enroll in the Class, and thereafter, the credits will be deducted in the cycle the Class takes place. You can see in your account settings page how many credits and days you have left for your current trial or Membership Period. When your cycle automatically renews, you’ll automatically receive your new allotment of credits.
If you do not have sufficient credits for a recurring Class, your payment method on file will be automatically charged, on each Sunday prior to your weekly Class, for the remaining amount required to keep your Class enrollment active at the rate as outlined in How to Purchase and Manage Your Outschool Membership. See Section 4 (Canceling Your Membership and Additional Credits) below for more details how to stop recurring charges for additional payments.
Any unused credits during a Membership Period will rollover to the next monthly Membership Period up to the number of credits in your then-current Membership Package for the following month, unless expressly provided otherwise in the How to Purchase and Manage Your Outschool Membership or as we expressly communicate in writing to you. You will no longer have access to any unused credits that do not rollover. If your Membership is canceled or terminated you will no longer have access to your unused credits at the end of your current Membership Period except as otherwise stated in writing by Outschool. There will be no refund or payment for any unused credit amount.
UNLESS YOU NOTIFY US BEFORE A CHARGE THAT YOU WANT TO CANCEL OR DO NOT WANT TO AUTO RENEW, YOU UNDERSTAND YOUR MEMBERSHIP AND ANY ADDITIONAL PAYMENTS, AS REQUIRED BASED ON YOUR CURRENT CLASS ENROLLMENTS, WILL AUTOMATICALLY CONTINUE AND YOU AUTHORIZE US (WITHOUT NOTICE TO YOU, UNLESS REQUIRED BY APPLICABLE LAW) TO COLLECT THE THEN-APPLICABLE MEMBERSHIP FEE, ANY APPLICABLE PAYMENTS REQUIRED TO KEEP YOUR CLASS ENROLLMENTS ACTIVE AND ANY TAXES, USING ANY ELIGIBLE PAYMENT METHOD WE HAVE ON RECORD FOR YOU.
You can cancel your Membership at any time. Once your monthly Membership Period begins, you are no longer eligible for a full refund. Canceling your monthly Membership after a Membership Period begins will stop any future charges, but will not result in a refund of your most recent payment for the same month Membership Period when you canceled.
To cancel your Membership, visit your transactions page, and click “update plan” to access our third party payment processor’s page to cancel your Membership. After you cancel your Membership, you acknowledge and agree your current Class enrollments will not be cancelled, and your payment method will be automatically charged for your current Class enrollments at the then-current Class Price until you withdraw from such Class on the classroom page.
To cancel any recurring charges for additional payments, you can withdraw from Classes on your classroom page to ensure no additional credits are required for your current Class enrollments and the number of credits in your current Membership Package is sufficient.
Outschool may offer additional trials, promotions or discounts related to the Membership, during which the fee of the Membership may be lower. Please read the details of those offers carefully, as any additional terms presented during the signup process will form part of these Membership Terms. Unless specified in writing, all discount offers that require payment are non-refundable. Any trial or other promotion must be used within the specified time frame, if applicable, of the trial or promotion as specified in writing, and at the end of that period of time, your Membership will automatically renew at the then-applicable full price, unless you cancel prior to renewal. Outschool reserves the right, in its absolute discretion, to determine your eligibility for a trial, promotion or discount, and, subject to applicable laws, to withdraw or to modify a trial, promotion or discount at any time without prior notice and with no liability, to the greatest extent permitted under the law.
We reserve the right to accept or refuse Membership to any User at our sole discretion.
You can buy an Outschool gift card, which is separate and independent from a Membership and credits. Gift cards and credits are not the same thing, and gift cards, unlike credits, do not expire. Please review this Help Center article for more details on gift cards.
We may send you emails and other communications related to the Membership (regardless of any settings or preferences related to your account).
You may not transfer or assign your Membership or any Membership benefits, including providing other third parties (including, but not limited to, other Users) access to pre-recorded videos, downloadables, and lessons on Outschool, except as allowed in these terms.
We may terminate your Membership at our discretion without notice. We will not give any refund for termination related to conduct that we determine violates the Agreement, or any applicable law, involves fraud or misuse of the Membership, or is harmful to our interests or another User. Our failure to insist upon or enforce your strict compliance with the Agreement will not constitute a waiver of any of our rights.
IN ADDITION TO OTHER LIMITATIONS AND EXCLUSIONS IN OUTSCHOOL'S TERMS OF SERVICE, OUR TOTAL LIABILITY, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, WILL NOT EXCEED THE LAST MEMBERSHIP FEE YOU PAID FOR THE MONTH IN WHICH THE CLAIM AROSE. THIS LIMITATION OF LIABILITY WILL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND WILL SURVIVE CANCELLATION OR TERMINATION OF YOUR SUBSCRIPTION.
Headings. The section headings throughout the Agreement are provided for ease of reference only and shall have no legal effect.
Waiver and Severability. If either party chooses to waive any of their rights or fails to enforce any provision of this Agreement, it does not mean that the party is waiving any other rights or will not enforce those provisions in the future. The waiver or failure to enforce any rights or provisions does not excuse the other party from fulfilling their obligations under this Agreement. If any provision of this Agreement is deemed invalid, illegal, or unenforceable in any jurisdiction by a court or authority, that provision shall be severed from the Agreement s to such jurisdiction (but, to the extent permitted by law, not elsewhere), and shall not affect the remaining provisions, which shall remain valid and enforceable.
Entire Agreement. This Agreement constitutes the entire agreement between you and Outschool and governs your access to and use of the Membership, superseding any prior agreements between you and Outschool with respect to the Membership. You also may be subject to additional terms and conditions that may apply when you use affiliate or third party services, third party content or third party software in connection with your access to the Membership.
